This Independent Contractor Agreement (this “Agreement”) is entered into between Klash LLC, a Texas limited liability company (“Klash,” “we,” “us,” or “our”), and the individual completing Washer onboarding through the Klash mobile application (“you” or “Washer”).
Capitalized terms used but not defined in this Agreement have the meanings given to them in Klash's Terms of Service (“Terms”). This Agreement supplements, and should be read together with, the Terms and the Klash Privacy Policy. If this Agreement conflicts with the Terms on any point specific to the Washer relationship, this Agreement controls; on all other matters, the Terms control.

You must be at least 18 years old to become a Washer, consistent with Section 4 of the Terms. You accept this Agreement electronically as part of Washer onboarding within the Klash app, including completing identity verification and payout onboarding through Stripe Connect. Your electronic acceptance has the same effect as a physical signature.
You are an independent contractor, not an employee of Klash. Nothing in this Agreement, the Terms, or your use of the Services creates an employment relationship. You are not entitled to any employee benefits, including minimum wage, overtime, workers' compensation, unemployment insurance, or employer-provided benefits of any kind, as a result of this Agreement.
Nothing in this Agreement creates a partnership, joint venture, or agency relationship between you and Klash. Neither party has the authority to bind the other or to act on the other's behalf, except as expressly stated in this Agreement or the Terms.
This Agreement is non-exclusive. You may perform detailing or other services for other companies, platforms, or customers outside of Klash, and Klash may work with any number of other Washers, at either party's discretion.
Going online within the Services, and accepting any individual Booking, is entirely optional. You are never required to go online, accept a minimum number of Bookings, or maintain any particular level of activity on the Platform.
You determine your own schedule and availability. Klash does not set your hours, require you to work at any particular time, or restrict the amount of time you spend online or offline.
You are responsible for providing your own equipment, supplies, and materials needed to perform detailing services, and for maintaining that equipment in safe, working condition. Klash does not provide or reimburse you for equipment or supplies.
You determine how to perform each Booking, using your own methods, techniques, and professional judgment. Klash does not supervise, direct, or control the manner in which you perform detailing services, except as necessary to operate the Platform, maintain baseline quality and safety standards described in this Agreement, and enforce the Terms.
Customers pay a Customer Booking and Processing Fee on each Booking, as described in Section 10.1 of the Terms. This fee belongs to Klash. It is not part of the service price, and no portion of it is owed to you.
If you are not enrolled in active KlashPlus, Klash deducts a 10% platform fee from the listed service price for each completed Booking before payout, as described in Section 10.2 of the Terms.
Your payouts are processed through Stripe Connect. To receive payouts, you must complete identity verification and payout onboarding through Stripe. Klash does not directly hold or store your bank account details; these are collected and held by Stripe, as described in the Privacy Policy.
Payout timing depends on Stripe Connect processing and your connected financial institution, consistent with Section 10.5 of the Terms.
You are solely responsible for reporting and paying all federal, state, and local taxes arising from payments you receive through the Services, including self-employment tax. Klash does not withhold taxes from your payouts. Klash may issue tax reporting forms (such as a Form 1099) as required by applicable law.
KlashPlus is an optional paid membership described fully in Section 10.3 of the Terms. This section summarizes how it applies to you as a Washer:

Consistent with Section 15.1 of the Terms, Klash does not require background checks as a condition of becoming a Washer at launch, but Klash reserves the right to require background checks in the future as an additional condition of Washer eligibility.

You may stop using the Services and terminate this Agreement at any time by ceasing to use the Klash app or by deleting your account as described in Section 7.2 of the Terms.
Klash may suspend or terminate your access to the Services, at Klash's discretion, for reasons including:
Klash will make reasonable efforts to notify you of a suspension or termination and the reason for it, except where doing so would compromise an active investigation, safety concern, or legal requirement. Klash may suspend your account immediately where necessary to protect users, investigate fraud, comply with legal obligations, or maintain the integrity of the Platform.
Termination of this Agreement ends your ability to accept new Bookings. Payment obligations for Bookings you completed before termination are not affected by termination, except as provided in Section 10.6 (Chargebacks and Payment Disputes) of the Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLASH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES AS A WASHER.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLASH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL PLATFORM FEES KLASH RETAINED FROM YOUR BOOKINGS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
This section is consistent with, and does not expand or narrow, Section 21 of the Terms.
You agree to indemnify, defend, and hold harmless Klash and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your performance of services for a Customer; (b) your violation of this Agreement or the Terms; (c) your violation of any applicable law; or (d) any equipment, supplies, or methods you use to perform services.
This section is consistent with, and does not expand or narrow, Section 22 of the Terms.
Before filing any claim against Klash, you agree to first contact Klash at support@getklash.com and attempt in good faith to resolve the dispute informally.
If a dispute is not resolved informally within thirty (30) days, you and Klash agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Terms, or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court in lieu of arbitration.
Any arbitration or proceeding between you and Klash shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You and Klash waive any right to participate in a class action lawsuit or class-wide arbitration, to the extent permitted by applicable law.
Any arbitration will be conducted in Midland County, Texas, unless you and Klash agree otherwise.
This section is identical in substance to Section 25 of the Terms, so that Washers are not subject to two different dispute-resolution mechanisms depending on which document a claim arises under.
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, consistent with Section 28 of the Terms.
Provisions of this Agreement that by their nature should survive termination — including payment obligations, tax responsibilities, limitation of liability, indemnification, governing law, and dispute resolution — survive termination of this Agreement or your Washer account.
Klash may update this Agreement from time to time to reflect changes to the Services, our practices, or applicable law. If we make a material change, we will provide notice through the Services or by other reasonable means before the change takes effect. Continuing to use the Services as a Washer after a material change takes effect constitutes acceptance of the updated Agreement.
